Welcome to Kodeus. These Terms of Use ("Terms") govern your access to and use of the Kodeus platform, including any content, functionality, services, or tools offered via our website (the "Platform").

By accessing or using Kodeus, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using the Platform.

1. Who We Are

Kodeus is an intent-driven platform that allows users to build, deploy, and manage intelligent Web3 agents using natural language prompts. These agents may interact with smart contracts, APIs, and off-chain systems, and are often tokenized as NFTs.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. Use of the platform is prohibited where it is restricted or illegal under local laws.

3. Platform Usage

You agree to use Kodeus only for lawful purposes and in accordance with these Terms. Specifically, you agree:

  • Not to use the Platform for any unlawful, fraudulent, or malicious purpose.

  • Not to reverse-engineer, tamper, or interfere with the code, systems, or services of Kodeus.

  • Not to deploy agents for purposes that violate the rights of others or disrupt Web3 ecosystems.

4. Account Responsibility

If you create a Kodeus account or connect a wallet, you are responsible for all activities that occur under your credentials. You must secure your access credentials and notify us immediately of any unauthorized use.

5. Agent Behavior and Ownership

Agents deployed through Kodeus are autonomous but rely on third-party APIs, smart contracts, and user-defined logic. You are responsible for any output, interaction, or transaction initiated by your agents.

Kodeus may tokenize agents as NFTs. You acknowledge that NFTs represent metadata and identity within our system but do not constitute financial instruments or guarantees of functionality.

6. Fees and Token Usage

Some services on Kodeus may require payment in cryptocurrency or usage of $KODE tokens. All token-based transactions are final and non-refundable unless stated otherwise.

7. Third-Party Services

Kodeus integrates with third-party tools, APIs, and platforms (e.g., OpenSea, Snapshot, Farcaster). We are not responsible for the content, performance, or actions of third-party services.

8. Intellectual Property

All intellectual property rights in the Kodeus platform, including its design, software, and branding, are owned by or licensed to us. You may not reproduce, distribute, or create derivative works without permission.

9. Termination

We reserve the right to suspend or terminate your access to the Platform if you violate these Terms or engage in harmful or unethical conduct. Termination may occur without prior notice.

10. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Use Kodeus at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Kodeus and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

12. Changes to Terms

We may update these Terms periodically. Continued use of the Platform constitutes your acceptance of the revised Terms. We encourage users to review this page regularly.
